Terms of Service

Welcome to Jamii Linguists!

Thank you for connecting with The Jamii Companies, LLC (DBA. Jamii Linguists) (“Jamii”) for language learning, interpreting, translation, and/or other language-related services and programs we make available to you as part of our suite of services (collectively, our “Paid Programs and Services”).  Jamii is an organization operating under the laws of Maryland, located at 324 Main Street, #928, Laurel, MD 20725. Your transactions and any other use of our Paid Programs and Services are subject to Jamii’s Terms of Service (“Terms of Service”).

The following terminology applies to these Terms of Service and all Agreements with Jamii: “Client”, “You” and “Your” refers to you, the person or entity receiving services and compliant to Jamii’s Terms of Service. “Jamii”, “Organization”, (“Service Provider”), “Ourselves”, “We”, “Us”  and “Our,” refers to Jamii Linguists, as well as our agents and designees. “Parties,” refers to both the Client and ourselves. All terms refer to the offer, acceptance and consideration of payment necessary to undertake the process of our assistance to the Client in the most appropriate manner for the express purpose of meeting the Client’s needs in respect to the provision of Jamii’s services, in accordance with, and subject to the prevailing law of Maryland, USA. Any use of the above terminology or other words in the singular, plural, capitalization and/or he/she or they, are taken as interchangeable and therefore as referring to the same.

1. Your Acceptance

By joining one of our paid programs and/or using our paid services, you signify your agreement to (1) these Terms of Services and (2) Jamii Linguists Pricing List. We’ll refer to these documents together as the “Terms,” which may be updated from time to time at our sole discretion. Please read the Terms carefully. If you do not understand the Terms, or do not accept any part of it, then you may not participate in our programs or use our services. Any other links or references provided in these Terms are for informational use only and are not part of the Agreement.

Ad-Hoc Services (No Scope of Work): Each time you place an order for a paid service or enroll in a paid program (including when you request ad-hoc services), you enter into a separate contract for services on these Terms. When you complete a purchase, you signify that you wish to enter into a binding contract for the provision of the applicable Paid Program and/or Services.

Long-term Services (with a  Scope of Work). If you are contracting with us to receive long-term services for more than 3-months, your agreement with Jamii may include a Scope of Work for the provision of interpreting, translation, or other services. By agreeing to receive services outlined in a Scope of Work with Jamii, we assume you accept these Terms. Do not agree to a Scope of Work or continue to use the services of Jamii Linguists if you do not agree to take all of the terms and conditions stated on this page.

2. Payments, Refund, Late fees and Cancellation Policy

Payments. All payments are non-refundable.
We accept debit/credit cards and ACH bank transfers. We do not accept checks. Invoices are payable online, and will be emailed to your primary contact or other designated official. For language programs, if your fees are paid via installment payments, you will be billed automatically according to your registration date. Unless otherwise specified in writing, following a down-payment to begin any Scope of Work, monthly installment payments for language services will be billed on the 1st of each month (unless otherwise specified) and will be due within 15 days.

Late fees. In the event of a failed or missed payment, Client will have 10 day grace period to render payment. Payment made after the grace period will incur a 5% late fee. Failure to render timely payment according to these Terms, shall be deemed a default of payment. Should you default on payment, Jamii may cease service delivery and/or require payment in full of the remaining balance before continuing services.  Jamii shall not be liable for any losses or damages you suffer as a result of the cessation of services due to default of payment. After 30 days of non-payment, Jamii will no longer be bound to provide services and any outstanding balance on the contract will become due in full. Continuous non-payment may result in legal action.

Subscription Cancellations: If you purchase a month-to-month subscription to a paid program or service that automatically renews, you may cancel the subscription any time before the end of the current billing period and the cancellation will take effect on the next billing period. You will retain access to the paid program or service from the time you cancel until the start of the next billing period, and will not receive a refund or credit for any remaining days in your current billing period.

Rescheduling or canceling meetings and/or events.

Interpreting assignments: 48-hour notice required for ALL changes.
Interpreting events that are cancelled, postponed, or changed with less than 48-hours notice will still be invoiced at 100% of the total cost for the project. You may cancel at any time prior to 48-hours and receive a refund. Changes requested with less than 48-hours notice are not guaranteed. NOTE: A $100 administrative fee for the team’s time in processing your request may still apply.

Translations that are cancelled after the translation process has started, will be invoiced for all translation work that has been completed.

Coaching sessions and meetings: 24-Hour Notice Required. For coaching sessions and meetings that do NOT require interpreting, you may reschedule any meeting without penalty by providing Jamii with at least 24-hours notice.  Failure to provide a minimum of 24-hours notice of the need to reschedule a meeting may result in the Client being charged for the full meeting duration and for all fees in relation to Jamii’s services for the meeting or coaching session. We do not guarantee the option to reschedule for same-day cancellations that occur with less than 24-hours notice.

3. Intellectual Property and Work Product Ownership

Unless otherwise stated, Jamii and/or its licensors own the intellectual property rights for all materials, recordings, curriculum, and work product we create. All intellectual property rights are reserved. You may access Jamii resources and materials pursuant to the terms set forth in your Scope of Work and subjected to restrictions set in these Terms.Unless granted express permission, in writing, you must not:

Republish material created by Jamii
•Sell, rent or sub-license material created by Jamii
•Reproduce, duplicate or copy material created by Jamii
•Redistribute content created by Jamii

4. Non-Solicitation. During the term of this Agreement and for a period of six (6)  months following completion of service delivery pursuant to these Terms, each Party (the “Employing Party”) agrees that it shall not knowingly solicit  for employment or employ (directly or indirectly, whether as an employee, consultant or  otherwise), for itself or for the benefit of any affiliate of, or contractor to, the Employing Party,  any individual who was employed by the other Party as an employee, consultant or independent  contractor and with whom the Employing Party became acquainted as a result of this Agreement.

5. Confidentiality

In the course of performing services, the Parties recognize that they may come in contact or become familiar with information which they or their subsidiaries or affiliates may consider confidential.  This information may include, but is not limited to, information pertaining to strategic plans, operations, vendors, partnerships, and technologies; the information may be of value to a competitor or harmful to operations if shared. Client and Jamii mutually agree to keep all such information confidential and not to discuss or divulge it to anyone other than among ourselves, with our agents or designees.      

6. Changes

Changes or discontinuation of paid programs or services. Jamii reserves the right to change the availability of paid programs and/or services. In addition, we reserve the right to modify, suspend, or discontinue Paid Programs & Services with or without notice to you and we will not be liable to you or any third party for any such modifications, suspension, or termination. Should you render payment for discontinued services, you will be entitled to a full or pro-rated refund based on the percentage of completed deliverable or services you have received prior to the discontinuation.Changes to these Terms of Service. We may also change these Terms of Service from time to time so we encourage you to periodically review the most up-to-date version at https://www.jamii.co/terms-of-service/. If the Terms of Service change, you will have the opportunity to review the new terms when you next purchase any Paid Service or enroll in a paid program. By completing the purchase, you signify your agreement to the new Paid Service Terms, and further, that they will apply to your use of Jamii’s Paid Programs & Services as a whole (including any programs and/or services you have purchased in the past) and all subsequent purchases (until the Terms of Service change again). If you refuse to accept the updated Terms of Service then you may not join additional programs or purchase additional services, and the latest version of the Terms of Service that you accepted will continue to apply to your use of previously purchased programs and services.

7. Termination of Services

These terms will remain ongoing until your paid program has ended or services have been completed. Either party may withdraw from this Agreement for any reason by sending an email to the other party, informing the recipient that the sender is ending the Agreement and that the Agreement will end in 7 days. The Agreement officially ends once that time has passed. The party that is ending the Agreement must provide notice by taking the steps explained in Section 9 of these Terms of Service. The Contractor must immediately stop working as soon as it receives this notice, unless the notice says otherwise.  The Client will pay the Contractor for the work done up until when the Contract ends and will reimburse the Contractor for any agreed-upon, non-cancellable expenses. The following sections don’t end even after withdrawing from this Agreement: 3 (Intellectual Property and Work Product Ownership); 4 (Non-Solicitation); 5 (Confidentiality); 10 (Representations and Warranties); 12(b) (Limitation of Liability); 12(c) (Indemnity).  

8. Communications

Communications. By using our programs and services, you consent to receiving communications from us including marketing communications such as newsletters about Jamii events, activities, the #TranslateTheMovement fundraising campaign, special offers, promotional announcements, and client satisfaction surveys, to your registered email address or via other methods. If you no longer want to receive such communications, simply email info@jamii.co to request to be removed from our list.  Where applicable, you may also click “unsubscribe” in any email communication.

9. Notices

(a)  Over the course of this Agreement, one party may need to send a notice to the other party. For the notice to be valid, it must be in writing and delivered in one of the following ways: personal delivery or via email.(b)  The timing of when a notice is received can be very important. To avoid confusion, a valid notice is considered received as follows: (i) if delivered personally, it is considered received immediately; (ii) if delivered by email, it is considered received upon acknowledgement of receipt. If a party refuses to accept notice or if notice cannot be delivered because of a change in address for which no notice was given, then it is considered received when the notice is rejected or unable to be delivered. If the notice is received after 5:00pm on a business day at the location specified in the address for that party, or on a day that is not a business day, then the notice is considered received at 9:00am on the next business day.

Representations and Warranties

The Client will make no representations, warranties, or commitments which may bind Jamii outside the scope of these terms and conditions.

Waiver

Failure to invoke any right, condition, or covenant in this Agreement by either party shall not be deemed to imply or constitute a waiver of any rights, condition, or covenant and neither party may rely on such failure.

Miscellaneous

(a) Entire Agreement:
These terms and conditions and any mutually executed Attachments or Amendments constitute the entire agreement of the parties with regard to the subject matter hereof, and replaces and supersedes all other agreements or understandings, whether written or oral.

(b) Limit of Liability: You expressly understand and agree that neither The Jamii Companies, LLC, Jamii’s Founder, or Jamii’s agents and designees will be liable to you for:(i) Any direct, indirect, incidental, special consequential or exemplary damages which may be incurred by you, however caused and under any theory of liability. This shall include, but not be limited to, any personal injury, emotional distress, loss of goodwill, or other intangible loss.and(ii) Should you receive coaching/consulting services from a representative of Jamii, you understand that your assigned coach/consultant will not tell you, the Client, what to do, and you, as the Client, are always empowered to choose and are held responsible for your actions. You assume all responsibility for any action taken in relation to a coaching/consulting session as well as all outcomes and results.

(c) Indemnity.

(i) Overview. This section transfers certain risks between the parties if a third party sues or goes after the Client or Service Provider or both. For example, if the Client gets sued for something that the Service Provider did, then the Service Provider may promise to come to the Client’s defense or to reimburse the Client for any losses.

(ii) Client Indemnity.   In this Agreement, the Service Provider agrees to indemnify the Client (and its affiliates and their directors, officers, employees, and agents) from and against all liabilities, losses, damages, and expenses (including reasonable attorneys’ fees) related to a third-party claim or proceeding arising out of: (i) the work the Service Provider has done under this Agreement; (ii) or a breach by the Service Provider of its obligations under this Agreement.

(iii) Service Provider Indemnity.   In this Contract, the Client agrees to indemnify the Contractor (and its affiliates and their directors, officers, employees, and agents) from and against liabilities, losses, damages, and expenses (including reasonable attorneys’ fees) related to a third-party claim or proceeding arising out of a breach by the Client of its obligations under this Contract.

(d) Governing Law:

This Agreement shall be governed by the laws of the state of Maryland.

(e) Severability: The invalidity or unenforceability of any provision of this Agreement shall not affect the validity or enforceability of any other provision. Accordingly, if any provision of these Terms, and mutually executed Agreements, is held by a court of competent jurisdiction to be unenforceable, the remainder of the Agreement shall remain in full force and effect and shall in no way be impaired.

(f)
Policy of Inclusiveness

Jamii commits to our clients that we care about the cause behind the words. We will not only aim to provide an environment free from discrimination and harassment, but also promote respect, dignity, and thoughtful inclusion of a diverse community of individuals when servicing our clients.

To that end, if the requirements for your project do not align with our value for diversity, equity, and inclusion, we will promptly notify you of our inability to perform the project and/or activity. Specifically, we will not perform action items or tasks that we deem to evidence discrimination, harassment, or exclusion on the following grounds, and any combination of these grounds:

Family status (such as being in a parent-child relationship)

Ancestry
Place of origin
Ethnic origin
Citizenship
Color
Record of offenses (re: criminal record)
Association or relationship with a person identified by one of the above grounds
Perception that one of the above grounds applies.
